The Foundership Terms of Use

Acceptance of the Terms of Use
The Foundership LLC is a community of entrepreneurial women and non-binary individuals who are looking for support and friendship on their entrepreneurial journey. They want to lean on each other for advice, insights, and collaboration as they build their business. These Terms of Use are entered into by and between You (“User” or “Member”) and The Foundership (“Company”, “We,” or “Us”).
The following terms and conditions govern your access to and use of the website thefoundership.com, the private Foundership community hosted on Mighty Networks, our membership application forms, our Coffee Cohort application forms, and any other newsletters or digital products offered by the Company (collectively the “Foundership Platforms”).
Please read the Terms of Use carefully before you start to use the Foundership Platforms. By using the community platform or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, available at thefoundership.com/privacy, which is incorporated into these Terms by reference. If you do not want to agree to these Terms of Use, you cannot access or use the Foundership Platforms.
Third-Party Platforms
Your use of and access to The Foundership community are also governed by Mighty Networks’ Terms of Use, Privacy Policy, and Payment Terms. Mighty Networks’ terms are not administered by the Company and are not the Company’s responsibility. The Company disclaims responsibility and liability for the operation and maintenance of the Mighty Networks platform. Similarly, we use Stripe, Squarespace, Google Workspace, Airtable, Luma, and Kit/Flodesk for business operations; your use of the Foundership Platforms could be subject to the additional terms and conditions of these third-party providers.
Membership Eligibility & Application
To fully access all Foundership Platform features and the private community, you must be an approved, registered Member. You represent and warrant that you are at least 18 years of age. We may, in our sole discretion, refuse to offer or continue to offer Membership to any person or entity and change our eligibility criteria at any time.
In order to be considered for Membership, you must provide us with a completed Membership Application demonstrating your status as a female or non-binary founder entrepreneur. Acceptance of a Membership shall be at our sole discretion in the furtherance of the good name and reputation of our community. No reason shall be given for refusal of any application at any stage.
Membership Fees & Renewals
In consideration of the privileges of Membership, The Foundership shall charge Membership Fees. Failure to pay fees when due may result in the termination or suspension of your Membership.
Automatic Renewal: Your Membership will automatically renew at the end of each Membership period at the then-current rate unless you cancel before the renewal date. We will notify you of any price changes before your next renewal. You will be charged for the renewal using the payment method on file.
Non-Refundable: All Membership fees are non-refundable. Once dues have been paid, including any auto-renewal charges, no refunds or credits will be issued for any reason.
Cancellation: You may cancel your Membership at any time via your Mighty Networks account settings or by emailing hello@thefoundership.com. Cancellation will take effect at the end of your current paid Membership period. All benefits of your Membership will be terminated at the end of your paid Membership period.
Chargebacks: If you initiate a chargeback or payment dispute against the Company, we reserve the right to suspend your Membership immediately pending resolution. If the chargeback is resolved in our favor, you agree to reimburse the Company for any fees or costs incurred in connection with the dispute.
Duties and Expectations (Code of Conduct)
Members are required to comply with the community guidelines established on the Foundership Platforms. This includes a commitment to confidentiality regarding anything that is shared within the private community by another Member or The Foundership. Any unauthorized use or misuse of member information may, in the Company’s sole discretion, result in immediate termination of Membership.
Community Standards
The Foundership is committed to maintaining a safe, inclusive, and supportive community. Members shall not engage in any conduct that constitutes harassment, bullying, intimidation, hate speech, discrimination, or threats directed at any other Member or Company representative. This includes but is not limited to:
Conduct based on race, ethnicity, gender, gender identity, sexual orientation, religion, disability, or national origin.
Sharing another Member’s personal information without consent (“doxxing”).
Persistent unwanted contact after being asked to stop.
Any conduct that creates a hostile or unsafe community environment.
Members who share endorsements, testimonials, or content involving affiliate or sponsored relationships within the community must clearly disclose any material financial relationship in accordance with Federal Trade Commission guidelines.
Violation of these Community Standards may result in immediate suspension or termination of Membership without refund, at the Company’s sole discretion.
Content and Intellectual Property
The term “Content” includes all blog posts, videos, written posts, and interactive features on the Foundership Platforms. These are owned by the Company, its licensors, or other providers and are protected by United States intellectual property laws. These Terms permit you to use the Foundership Platforms for your personal, non-commercial use only. You must not reproduce, distribute, or create derivative works of any material from our Foundership Platforms without prior written permission.
Prohibited Uses
You may use the Foundership Platforms only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Foundership Platforms:
Legal Compliance: In any way that violates any applicable federal, state, local, or international law or regulation.
Content Standards: To send, knowingly receive, upload, download, use, or re-use any material which does not comply with the Community Standards set out in these Terms.
Spam & Solicitation: To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation. We prohibit direct solicitation (selling of products or services) and ask Members to report such behavior to hello@thefoundership.com.
Impersonation: To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
Interference: To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Foundership Platforms, or which, as determined by us, may harm the Company or users of the Foundership Platforms or expose them to liability.
Additionally, you agree not to:
Use the Foundership Platforms in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Foundership Platforms.
Use any robot, spider, or other automatic device, process, or means to access the Foundership Platforms for any purpose, including monitoring or copying any of the material on the Foundership Platforms.
Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Foundership Platforms, the server on which the Foundership Platforms are stored, or any server, computer, or database connected to the Foundership Platforms.
Attack the Foundership Platforms via a denial-of-service attack or a distributed denial-of-service attack.
Otherwise attempt to interfere with the proper working of the Foundership Platforms.
User Contributions
Any content you post to the community will be considered non-confidential and non-proprietary. By providing any User Contribution on the Foundership Platforms, you grant the Company and its affiliates a nonexclusive, perpetual, irrevocable, royalty-free, worldwide, transferable, and sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Contributions in any media or format. You represent and warrant that you own or have the necessary rights to grant this license and that your User Contributions do not violate the rights of any third party.
You are responsible for the legality and accuracy of any content you submit. If you leave the community, your past User Contributions may remain visible to maintain community continuity.
Termination by Company
The Company may, in its sole discretion, suspend or terminate your Membership and access to the Foundership Platforms at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these Terms of Use, violation of Community Standards, conduct harmful to other Members or the Company’s reputation, failure to pay Membership Fees, or any other reason the Company deems appropriate. No refund will be issued for any remaining portion of a Membership period upon termination for cause.
No Professional Advice Disclaimer
The Foundership does not provide medical, legal, financial, or other professional advice. All information shared is for general informational purposes only and should not be relied upon as a substitute for professional advice from a licensed attorney, accountant, or medical professional. The Company does not endorse, verify, or guarantee the accuracy or reliability of any User Contributions or advice shared by Members.
Copyright Infringement (DMCA Policy)
We take claims of copyright infringement seriously and comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe any materials accessible on the Foundership Platforms infringe your copyright, you may submit a written notification to our designated copyright agent at hello@thefoundership.com containing the following:
A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
Identification of the copyrighted work claimed to have been infringed.
Identification of the material that is claimed to be infringing and information reasonably sufficient to permit the Company to locate the material.
Your contact information, including your address, telephone number, and email address.
A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
Counter-Notification: If you believe that your User Contribution was removed or disabled by mistake or misidentification, you may submit a written counter-notification to hello@thefoundership.com containing: (a) your physical or electronic signature; (b) identification of the material that has been removed and the location at which it appeared before removal; (c) a statement under penalty of perjury that you have a good faith belief that the material was removed as a result of mistake or misidentification; and (d) your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal courts in the State of Missouri.
Repeat Infringers: It is the Company’s policy to terminate the Membership of any Member who is determined to be a repeat infringer in appropriate circumstances.
Disclaimer of Warranties
Your use of the Foundership Platforms and content is at your own risk. The Foundership Platforms are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. The Company disclaims all warranties, including but not limited to any warranties of merchantability, fitness for a particular purpose, non-infringement, title, and accuracy of content. The Company does not warrant that the Foundership Platforms will be uninterrupted, error-free, or free of viruses or other harmful components.
Limitation on Liability
In no event will the Company, its affiliates, or their licensors be liable for damages of any kind arising out of or in connection with your use of the Foundership Platforms. This includes any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill. In no event shall the Company’s total aggregate liability for all claims arising out of or related to these Terms exceed the amount of Membership Fees paid by you during the twelve (12) months immediately preceding the event giving rise to such liability.
Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, agents, contractors, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use, your User Contributions, or your use of the Foundership Platforms. The Company shall have the right to assume exclusive control of the defense of any such claim at your expense, and you agree to cooperate with such defense.
Dispute Resolution; Binding Arbitration; Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Foundership Platforms shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, and not through any class, consolidated, or representative action.
You and the Company each waive the right to a trial by jury and the right to participate in any class action, collective action, or representative proceeding.
The arbitration shall be conducted in the State of Missouri. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
Governing Law and Jurisdiction
All matters relating to the Foundership Platforms and these Terms of Use shall be governed by and construed in accordance with the internal laws of the State of Missouri without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Foundership Platforms shall be instituted exclusively in the federal or state courts located within the State of Missouri, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
Entire Agreement
These Terms of Use, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the sole and entire agreement between you and the Company regarding the Foundership Platforms and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
Waiver
No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment
The Company may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without the prior written consent of the Company.
Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of government, internet service disruptions, or third-party platform outages.
